# Terms of Service

## 10. Agreement to Terms

By accessing or using the services provided by CopySignalWorks ("Agency"), you
agree to be bound by these Terms of Service ("Terms"). If you do not agree
with any part of these Terms, you may not access or use our services.

## 11. Scope of Services

CopySignalWorks provides copywriting, content strategy, brand messaging,
email marketing, and editorial services. The specific scope, deliverables,
timelines, and pricing for each engagement shall be defined in a separate
Service Agreement ("Statement of Work") executed between the parties.

## 12. Client Obligations

The Client agrees to:

  a) Provide timely access to materials, information, and resources necessary
     for the Agency to perform its services.
  b) Designate a primary point of contact for all communications.
  c) Review and provide feedback on deliverables within the agreed review
     periods.
  d) Make payments in accordance with the payment terms set forth in the
     applicable Statement of Work.

## 13. Intellectual Property

All deliverables created by CopySignalWorks under a Service Agreement shall
become the exclusive property of the Client upon full payment. The Agency
retains ownership of pre-existing intellectual property, tools, templates,
and methodologies used in the creation of deliverables.

## 14. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary
information shared during the course of the engagement. This obligation
survives the termination of the Service Agreement for a period of two (2)
years.

## 15. Limitation of Liability

To the maximum extent permitted by applicable law, CopySignalWorks shall not
be liable for any indirect, incidental, special, consequential, or punitive
damages arising out of or related to the use of our services. Our total
aggregate liability shall not exceed the total fees paid by the Client under
the applicable Service Agreement.

## 16. Indemnification

Each party agrees to indemnify and hold harmless the other party from any
claims, losses, or damages arising from a breach of these Terms or the
applicable Service Agreement.

## 17. Termination

Either party may terminate a Service Agreement with thirty (30) days written
notice. Upon termination, the Client shall pay for all services rendered up
to the date of termination. Sections relating to intellectual property,
confidentiality, and limitation of liability shall survive termination.

## 18. Governing Law

These Terms shall be governed by and construed in accordance with the laws
of the Kingdom of Spain and the European Union. Any disputes shall be subject
to the exclusive jurisdiction of the courts of Zaragoza, Spain.

# Refund & Reimbursement Policy

## 24. General Policy

CopySignalWorks is committed to delivering high-quality copywriting and
content services. Refund eligibility is determined based on the stage of
service delivery and the terms outlined in the applicable Statement of Work.

## 25. Pre-Delivery Refund

If a project has not yet commenced and no work has been performed, the Client
may request a full refund of any advance payments within fourteen (14) days
of the payment date. Requests must be submitted in writing to
[email protected].

## 26. Partial Delivery Refund

If work has partially commenced, the Client may be eligible for a pro-rata
refund based on the percentage of work completed. The refund amount shall be
calculated as follows:

  Refund = Total Fee - (Total Fee × Percentage of Work Completed)

## 27. Completed Work

No refunds shall be issued for work that has been completed, delivered, and
accepted by the Client. Delivery acceptance occurs when the Client:

  a) Formally approves the deliverable in writing, OR
  b) Uses the deliverable in a commercial context, OR
  c) Does not raise objections within the agreed review period.

## 28. Revision Policy

Standard Service Agreements include up to two (2) rounds of revisions at no
additional cost. Additional revisions shall be billed at the Agency's standard
hourly rate or as defined in the Statement of Work.

## 29. Dispute Resolution

Any disputes regarding refunds shall be addressed through good-faith
negotiation between the parties. If no resolution is reached within thirty
(30) days, either party may seek mediation through the courts of Zaragoza,
Spain, in accordance with applicable law.

## 30. Non-Refundable Items

The following are non-refundable:

  - Fees for work that has been delivered and accepted.
  - Rush fees and expedited delivery surcharges.
  - Third-party costs incurred on behalf of the Client (e.g., stock imagery,
    licensing fees, paid distribution costs).
